Partner Marketing Program
This Affiliate Agreement (“Agreement”) is entered into between Libertas Project Management – FZCO (“Company”, “we”, “us”) and the affiliate identified below (“Affiliate”, “you”, “your”) regarding participation in the BTC Breakout Affiliate Program managed through TrackDesk.
The BTC Breakout Affiliate Program allows approved partners to earn commissions by referring new customers who purchase the BTC Breakout software licence. BTC Breakout is algorithmic trading software that executes Bitcoin trades through connected broker accounts using cloud-hosted trade execution infrastructure, including the Tradesync API operated by Ttech Solutions Limited (trading as “Tradesync”). All affiliate activities are tracked and managed through our TrackDesk affiliate platform.
This Agreement is supplemented by the BTC Breakout Affiliate General Terms and Conditions (“GTC”), which govern conduct, liability, and intellectual property matters. Customer personal data disclosed under optional buyer consent is governed by Section 15 of this Agreement. Where this Agreement and the GTC conflict, this Agreement prevails for programme-specific terms, customer personal data disclosed by the Company, commission rates, payout schedules, and tier structure; the GTC prevails for other general matters.

BTC Breakout operates a two-tier commission structure. Commissions are calculated as a percentage of Licence Revenue.
“Licence Revenue” means the net amount actually received by the Company from the customer for the BTC Breakout software licence, excluding: VAT, sales tax, any applicable transaction fees, refunds, chargebacks, and third-party payment processing costs.

Example at standard price: You refer Customer A who purchases at the standard price (Licence Revenue: £3,239.88). You earn 18.52% = approximately £600. Customer A then refers Customer B who also purchases at the standard price. You earn 9.26% = approximately £300 as Tier 2 commission, and Customer A earns 18.52% = approximately £600 as their Tier 1 commission.
Commission is earned on software licence purchases only and bears no relation to the trading performance or outcomes of referred customers.
Commission rates are subject to change with 30 days notice.
If a referred customer’s purchase is refunded, charged back, or determined to be fraudulent, no commission will be earned for that referral. Commissions already paid for such referrals may be clawed back in accordance with the GTC.

All affiliate marketing must comply with applicable regulations in your jurisdiction. You are responsible for ensuring your promotional activities comply with local laws. We may require you to include specific disclaimers or risk warnings in your promotional materials.
We grant you a limited, non-exclusive, revocable license to use BTC Breakout trademarks, logos, and marketing materials solely for the purpose of promoting BTC Breakout as an affiliate. This license does not transfer any ownership rights. All intellectual property remains the exclusive property of Libertas Project Management – FZCO.
Either party may terminate this Agreement at any time with 14 days written notice. We may terminate immediately if:
Upon termination, pending commissions that have cleared the 7-day holding period will be paid according to the normal payment schedule. Commissions still in the holding period may be forfeited if termination is due to Agreement violations.
To the maximum extent permitted by law, Libertas Project Management – FZCO shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the Affiliate Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding any claim.
You are an independent contractor and not an employee, agent, or partner of Libertas Project Management – FZCO. Nothing in this Agreement creates a partnership, joint venture, employment relationship, or fiduciary duty. You are responsible for your own taxes, insurance, and compliance with local business registration requirements.
You agree to keep confidential any non-public information shared with you as part of the Affiliate Program, including commission rates, conversion data, marketing strategies, and any other proprietary information.
We reserve the right to modify this Agreement, commission rates, or program terms at any time. Material changes will be communicated with at least 30 days notice. Continued participation after changes take effect constitutes acceptance of the modified terms.
This Agreement shall be governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with this Agreement shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, conducted in the English language.

15.1 Independent controller. Where the Company discloses to the Affiliate the name and email address of a customer who has given specific consent to that disclosure, the Affiliate acts as an independent controller of that personal data and is responsible for handling it in accordance with applicable data protection laws.
15.2 Purpose limitation. The Affiliate may use such personal data only to welcome and support the onboarding of the referred customer. The Affiliate must not use it for unrelated marketing, resale, profiling, or any other commercial purpose unless the Affiliate has its own lawful basis and provides any notices required by law.
15.3 No resale or onward disclosure. The Affiliate must not sell, rent, trade, publish, or disclose such personal data to any third party.
15.4 Security. The Affiliate must apply appropriate technical and organisational measures to protect such personal data against unauthorised access, loss, misuse, alteration, or disclosure.
15.5 Withdrawal and erasure. Upon notice from the Company that a customer has withdrawn consent or requested erasure, the Affiliate must delete that customer’s personal data within seven (7) days unless the Affiliate is legally required to retain it, and must confirm deletion or the legal basis for retention in writing on request.
15.6 International transfers. If the Affiliate receives EU or UK customer personal data outside the EEA or UK, the parties incorporate the EU Standard Contractual Clauses Module 1 (Controller to Controller) and, where applicable, the UK International Data Transfer Addendum or International Data Transfer Agreement.
15.7 Assistance. The Affiliate must reasonably assist the Company with data-subject requests, security incidents, and regulatory enquiries concerning customer personal data disclosed under this section.
15.8 Survival. This section survives termination for as long as the Affiliate holds any customer personal data received under it.
